IMPORTANT NOTICE: The section titled "E911 and 911 Services" below explains the limitations of E911 service compared to traditional 911 service. If these limitations concern you, consider using alternative means to access traditional 911 services or discontinue using our E911 services. We strongly recommend having an alternative method for placing emergency calls available at all times.
This Agreement (including the General and Specific Terms below) establishes the terms and conditions between Junction Networks, Inc. ("we," "us," "our" or "Junction Networks") and you ("you," "User," or "Customer") governing your use of the Dialcli service, including the sayso® product (collectively, the "Service") offered on Junction Networks' websites (the "Site" or "Website").
Please read this Agreement before using our Site or Service. By using either, you agree to all terms and conditions contained herein. You represent and warrant that you have read, understand, and accept all terms in this Agreement. If you disagree with any terms, you may not use our Site or Service.
Junction Networks operates an IP-based phone service and related website. By activating our Service, you affirm that:
You agree not to use the Service for any unlawful, abusive, privacy-intrusive, harassing, libelous, defamatory, threatening, or hateful purposes, or in any way that violates applicable laws (collectively, "Prohibited Use"). You agree to indemnify Junction Networks against any liability arising from Prohibited Use.
You agree to use the Service for traditional voice or fax calls similar in duration to the average small business customer and will not employ methods to use services excessively or for unintended purposes.
When using the sayso® product, you must comply with GDPR requirements, including having a lawful basis for processing EU personal data. You must treat all personal data received through sayso® as confidential.
While the Service can be used for international calls, we don't guarantee its appropriateness outside the United States. You are responsible for compliance with foreign laws when using the Service abroad. You may not reverse engineer, distribute, or modify our configuration parameters.
You shall not use our Service in a manner where more than 85% of your traffic consists of calls six seconds or less in duration. If your short duration traffic exceeds this threshold, we reserve the right to suspend or terminate your Service immediately.
We reserve the right to review usage of unlimited minute service plans to ensure compliance with this Agreement. Excessive use that substantially exceeds average call volume or duration of other customers is prohibited. Specifically prohibited activities include conference calling, monitoring services, data transmissions, broadcasts, recorded material transmission, robo-dialing, call center operations, and telemarketing.
We may terminate your Service or change your plan if we determine your usage violates these prohibitions or is otherwise unreasonable. If your usage is abusive, you agree to pay per-minute fees for excess usage at our then-current rates.
Our Services are void where prohibited by law. They are available only to individuals who can enter legally binding contracts under applicable law. Our Service is not available to minors under 18 in the United States or to anyone unable to enter binding contracts in their jurisdiction.
We are not responsible for any misstatements or misrepresentations regarding age, background, experience, or eligibility made by Users. You agree to indemnify us against any liability arising from such misrepresentations.
Our Sites and Services are intended for people 18 or older. We do not knowingly collect information from children under 13. We take laws governing children's internet access seriously. If we determine you've provided false information about your age, your Service will be terminated immediately.
We disclaim liability for unauthorized use of any User's account or information. You agree to hold us harmless for any unauthorized use of your account or personal information.
If you resell or transfer the Service to a third party, you remain responsible for all obligations related to the Service, including payment. You must communicate all terms and conditions to such third parties and indemnify us against any liability arising from their Prohibited Use.
Payment for Service and applicable taxes/fees is billed on a pre-pay basis. You must provide a valid credit card when signing up. We reserve the right to suspend or terminate Service until you provide valid payment. You are responsible for all accrued charges, even if you didn't use or authorize the Service.
Pre-paid credits expire 90 days from the date added to your account. Unused credits will be forfeited after this period. All applicable taxes and fees paid are nonrefundable after 90 days.
IMPORTANT LIMITATIONS: Our 911 and E911 service has significant differences from traditional 911 service. Please read this section carefully.
E911 service delivers 911 calls to appropriate emergency centers and provides callback number and location information. In areas without E911 support, you have basic 911 service where emergency operators may not have immediate access to your callback number or exact location. You must be prepared to provide this information.
As an IP-based service, you may experience interruptions or reduced quality without notice. Power outages will interrupt Service, including emergency calling. We recommend having an alternative telephone service (wireless or wireline) capable of supporting 911/E911 available at all times for emergencies.
By agreeing to these terms, you assume the risk of losing emergency 911 dialing capabilities and consent to disclosure of your telephone number and identifying information to emergency authorities as we deem necessary.
911 and E911 service may be limited or unavailable in these circumstances:
You agree that Junction Networks, its affiliates, and their respective personnel will not be liable for any indirect, incidental, special, or consequential damages arising from use of (or inability to use) the Service or emergency 911 services. You release us from all claims related to Service use and waive your right to bring suit for such claims.
We have no control over how 911 calls are handled by emergency response centers. We disclaim all responsibility for their conduct. We rely on third parties to route 911 calls and disclaim liability for their failures. You waive your right to bring claims against us arising from emergency 911 service, except where claims result from our gross negligence or willful misconduct.
You agree to defend, indemnify, and hold us harmless from claims brought by third parties unless caused by our gross negligence or willful misconduct.
1. Provide an ERL: When subscribing, you must provide the physical location where you'll use the Service. PO boxes are not valid. If you move your equipment, you must immediately update your ERL. Failure to maintain a correct ERL may result in Service suspension or termination. You are liable for charges related to your failure to provide current location information.
2. Notify Others of 911 Limitations: You must notify all users of your Service about possible interruptions, loss of 911 dialing capabilities, E911 limitations, and our liability limitations.
3. Place 911 Warning Labels: You must prominently display 911 warning labels on or near telephone handsets or devices used with the Service. Failure to do so is a material breach of this Agreement.
Customers must subscribe to E911 service and pay monthly government-imposed fees and costs we incur to provide this service. These fees are in addition to state 911 taxes and line fees. We reserve the right to adjust E911 Service Fees to reflect cost changes.
The Service does not permit calls to 900 numbers or other pay-per-call services. Circumventing this blocking will incur a $1.00 per-call charge or actual cost, whichever is greater.
You are solely responsible for safeguarding your credentials and for all charges on your account, including those resulting from credential theft. You must cancel Service if credentials are lost or stolen.
We reserve the right to terminate Service at any time, with or without notice, for any reason. We are not liable to you or any third party for Service modification, suspension, or discontinuation.
Since you provide devices used with the Service, you are solely liable for their obsolescence, malfunction, or failure.
Personal data you submit is subject to our Privacy Policy. VoIP communications travel over public networks including the Internet. We are not liable for privacy loss arising from Service use.
Since we're not involved in contacts between Users, you release us from all claims arising from disputes with other Users or third parties.
You are solely responsible for your content and Service use. We act as a passive conduit for your content distribution and do not monitor or endorse user content.
Your content must not:
You agree to indemnify us against claims arising from violation of this policy.
If your account is created through an agent, that agent will have access to configure your account and has the same rights and protections as Junction Networks under this Agreement.
Users must pay for Services according to agreed fees, plus applicable taxes and fees. We will charge your credit card without additional notice or consent. You must promptly notify us of changes to your invoicing address or credit card. Payment obligations survive Agreement termination.
While we use reasonable efforts to protect credit card information, we disclaim liability for its release to third parties. You agree to hold us harmless for damages resulting from such release. We use third-party payment processors and are not responsible for their services.
For payments returned for nonpayment or credit card chargebacks, we may assess a $25 fee and suspend Service or terminate this Agreement. All amounts due must be paid by the due date regardless of dispute status.
Billing disputes must be in writing, marked "Billing Dispute," sent to our address, and received within 60 days after invoice posting or credit card charge attempt.
We may send notices by mail or electronic means. Notices to you are effective 3 days after mailing or immediately upon electronic transmission. You are responsible for notifying us of address changes. Written notice to us is effective when received at: Junction Networks, 4387 W. Swamp Rd #284, Doylestown, PA 18902.
We reserve the right to change this Agreement. Notice of material changes will be posted on the Site. It is your responsibility to review terms when using the Site. We are not responsible for damages resulting from your failure to review modified terms.
This Agreement becomes effective immediately upon Site or Service use and remains effective until terminated. You may terminate by providing us written or email notice. We may terminate immediately for breach of this Agreement or our policies, or for any reason. No reimbursements will be issued for termination due to violation of terms.
All content on the Site is owned by us or used with permission. This material is protected by copyright and other laws. You may not copy, download, or retransmit Site content without our prior written permission. You may not post or distribute material you don't own or have permission to use.
We grant you a nonexclusive, revocable right to use the Site provided you don't copy, modify, reverse engineer, or attempt to discover source code.
We reserve the right to modify or discontinue the Site or Service temporarily or permanently without notice. We are not liable to you or any third party for such modifications or discontinuance.
You are responsible for maintaining password and account confidentiality, and for all activities under your account. You must immediately notify us of unauthorized password or account use.
You are solely responsible for all risks and charges arising from fraudulent Service usage. You agree to pay for all account usage, including fraudulent/unauthorized usage. If we detect suspected fraud, we may modify, suspend, or terminate Service without notice.
No agency, partnership, joint venture, or employment relationship is created by this Agreement. We are not an employment service.
You use the Site and Service at your own risk. We don't warrant uninterrupted or error-free service, or the accuracy of information provided. The Site and Service are provided "as is" without warranties of any kind. We don't guarantee that personal information won't be misappropriated. You agree not to hold us liable for damages resulting from Site or Service interruption.
You agree not to hold us liable for advice or services delivered through the Site. You release us from claims related to parties other than Junction Networks. You acknowledge you provide your own devices and are solely liable for their failure. Our aggregate liability will not exceed amounts paid by you in the previous 12 months.
Any controversy or claim arising from this Agreement or our Services shall be settled by binding arbitration under American Arbitration Association rules. Arbitration shall be conducted in New York State. Either party may seek interim relief from a New York court.
Our failure to enforce any provision doesn't waive that provision. This Agreement is governed by New York law without regard to conflict of laws. Claims and disputes shall be brought in New York courts. This Agreement constitutes the entire agreement between Users and Junction Networks.
No party is the partner, agent, employer, or employee of the other. This Agreement shall be interpreted under New York law. Legal proceedings shall occur in New York. This Agreement binds parties' successors and assigns.
Junction Networks is committed to protecting your privacy. We are a wholly owned subsidiary of Ooma, Inc., whose privacy policy is incorporated by reference and available at: https://www.ooma.com/legal/privacy-policy/.
This Agreement establishes terms between Junction Networks, Inc. and you governing use of the PSTN Gateway Service offered on our websites. By using the Site or Service, you agree to all terms herein.
By activating our Service, you affirm this Agreement is legally binding and you will use the Service in compliance with applicable laws, including those governing electronic recordings, various state call recording laws, HIPAA, and the Electronic Communications Privacy Act.
You agree not to use the Service for Prohibited Uses and will indemnify us against related liability. While the Service can be used internationally, you're responsible for compliance with foreign laws. You may not reverse engineer or modify our configuration parameters.
You agree not to use the Service for contacting emergency assistance via 911 or E911 services. You must obtain emergency services through other means. You must inform all third-party Users that the Service cannot be used for emergency services. You agree to indemnify us against liability arising from attempts to access emergency services through the Service.
